Job Title: Executive – Contract Drafting

Department: Legal & Compliance
Location: Kochi, Kerala

Salary: Up to 5lpa

Education: Bachelor’s degree from a recognized university.

Experience: Minimum 3 years of contract drafting experience, preferably within a bank, Non-Banking Financial Company (NBFC), FinTech, or financial services firm.

Legal Expertise: Deep understanding of the Indian Contract Act, Corporate Laws, IPR laws, and data privacy regulations.

Working days: Monday-Friday

Job Purpose

As an Executive – Contract Drafting, you will be responsible for preparing, reviewing, and negotiating a wide variety of legal agreements and commercial contracts. You will ensure that all business transactions comply with financial regulations while minimizing legal risks and protecting the organization's commercial interests.

Key Responsibilities

• Contract Drafting & Review: Draft, review, and vet legal documents including Master Service Agreements (MSAs), Service Level Agreements (SLAs), Non-Disclosure Agreements (NDAs), vendor contracts, vendor onboarding documents, and technology agreements.
• Financial & Loan Documentation: Prepare and standardize credit facility agreements, loan documents, security documents, co-lending agreements, and partnership deeds specific to financial products.
• Risk Mitigation: Identify legal risks, liabilities, and gaps in existing contracts and propose commercially viable solutions to safeguard the company.
• Contract Negotiation: Collaborate with internal business teams and external vendors/clients to negotiate legal terms and conditions.
• Regulatory Compliance: Ensure all contracts align with guidelines issued by the Reserve Bank of India (RBI), SEBI, MCA, and other relevant financial regulatory authorities.
• Repository Management: Maintain a digital repository of all executed contracts, track renewal timelines, terminations, and compliance milestones.
